Swiss automotive components maker Autoneum agreed to acquire Trèves Group for €64 million, with a €40 million upfront payment, up to €24 million in performance-related payments, and more than 80% of the initial consideration settled in newly issued Autoneum shares. The transaction is expected to close in early 2027.
Why it matters
For international car buyers and owners, consolidation among parts suppliers can shape the sourcing of acoustic insulation, interior trim and luggage compartment components across global vehicle production. Autoneum says the deal is intended to expand its global manufacturing footprint and strengthen its position in these automotive categories.
Trèves employs around 4,600 people across 26 production facilities in 15 countries and generated approximately €720 million in revenue in 2025. Autoneum expects annual recurring savings of more than CHF 50 million from 2029, with restructuring costs of about CHF 60 million in 2027 and 2028.
The players
Autoneum
A Swiss supplier of acoustic and thermal insulation, interior trim and luggage compartment systems for automakers worldwide.
Trèves Group
A France-based automotive parts manufacturer with 26 production facilities across 15 countries and about 4,600 employees.
Fonds Avenir Automobile
An existing owner of Trèves Group that intends to seek board representation at Autoneum's next annual shareholders' meeting.
The details
Autoneum will pay about €40 million upfront, with more than 80% settled in newly issued Autoneum shares subject to a three-year lock-up, and only about €7.5 million paid in cash. A further payment of up to €24 million is possible depending on performance. The deal also requires consultation with employee representative bodies and customary regulatory approvals before completion.
Timeline
April 2023: Autoneum acquired the automotive business of Germany's Borgers Group for €117 million.
November 2, 2026: Autoneum announced its agreement to acquire Trèves Group.
2027 and 2028: Restructuring expenditure of approximately CHF 60 million is expected.
Early 2027: The transaction is expected to be completed.
2029: Autoneum anticipates annual recurring savings of more than CHF 50 million.
The Home Front
Autoneum's earlier purchase of Borgers' automotive business for €117 million in April 2023 set a precedent for its acquisition-led growth strategy. The Trèves deal, at €64 million, is a considerably smaller transaction that continues that pattern of consolidating automotive supplier capacity.
If you own a vehicle, this deal does not require any immediate action on your part, since the transaction is not expected to close until early 2027. Keep your vehicle's service records and warranty paperwork in order, as parts supply changes over time can affect availability for older models.
The takeaway
Acquisitions among automotive suppliers rarely change anything a buyer sees on the lot in the short term, but they can shift who makes the insulation and trim in the cars you consider. Before any major vehicle purchase, check the manufacturer's warranty terms and parts-support commitments rather than relying on supplier ownership.
What happens next
The transaction is expected to be completed in early 2027, and Fonds Avenir Automobile intends to seek board representation at Autoneum's next annual shareholders' meeting.
